Priority Reservation Terms and Privacy

The Edge Node will ship as a consumer product, not a medical device. It has no clinical monitoring, detection or diagnostic function. Any future clinical function would require FDA authorization.

Priority Reservation Terms

1. The parties and priority allocation

These Priority Reservation Terms govern your free placement on the priority wishlist for the DeepSensi Edge Node between you and DeepSensi PBC, a Delaware public benefit corporation ("DeepSensi", "we", "us"). You may join the priority wishlist if you are at least 18 years old. Priority reservations are not available to persons located in, or ordinarily resident in, jurisdictions subject to comprehensive U.S. sanctions (including Cuba, Iran, North Korea, Syria, or sanctioned regions of Ukraine), or to any person on a U.S. government restricted-party list.

2. What you are reserving

You are reserving a non-binding priority queue allocation for the turnkey DeepSensi Edge Node hardware station in your chosen finish (Silk White Satin or Pine Green), planned for delivery in the second half of 2027 (2H 2027). The hardware includes a calibrated multi-microphone array, physical acoustic mute switch, optical lens privacy shutter, dedicated cryptographic coprocessor, and on-device ambient scribe and direct PII/PHI scrubbing prior to any network transmission. Wi-Fi and Starlink connectivity are supported.

3. What is not included; no medical device claims

The Edge Node is designed and will ship as a consumer hardware station, not a medical device. It has no clinical monitoring, physiological detection, diagnostic alerting, or treatment functions. Clinical monitoring features are subject to future FDA premarket review and clearance, have not been authorized by the FDA in any jurisdiction, and may never become available. Your priority reservation does not constitute a purchase of, priority for, or guarantee of any regulated medical capability.

4. FCC compliance notice

The Edge Node is an electronic appliance subject to the equipment authorization rules of the Federal Communications Commission (FCC). Commercial delivery is strictly conditional upon successful completion of applicable FCC equipment authorization. This reservation does not constitute an offer to sell or commercial distribution prior to required authorizations.

5. Zero cost; non-binding reservation

Joining the priority wishlist requires USD 0. No deposit, pre-payment, credit card authorization, or banking credential is required or collected today. You may cancel your reservation at any time without fee or penalty by contacting [email protected].

6. Production scheduling and commercial offer

Production is targeted for the second half of 2027. When hardware units enter final assembly and receive necessary regulatory clearances, DeepSensi will contact priority reservation holders in chronological order of reservation with final retail pricing, hardware specifications, warranty terms, and an invitation to complete a binding purchase order. You have no obligation to purchase.

7. Not medical advice; emergency protocol

The Edge Node is not a substitute for professional clinical judgment, consultation, or emergency care. In the event of a medical emergency, call 911 (US) or your local emergency number immediately. If you are experiencing a mental health crisis, call or text 988.

8. Dispute resolution and governing law

These Reservation Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any dispute arising out of or related to these terms shall be resolved under the dispute resolution provisions of DeepSensi PBC's Terms of Service.

Privacy and Recording Notice

1. What the Edge Node senses

The Edge Node has a camera, microphones, and a speaker. It processes sound on the device only to detect the wake word; nothing is recorded, stored, or sent until you say the wake word or press the listen button, and the light on top stays on the entire time audio or video is recorded or transmitted. You can turn off the microphones with the mute switch, and close the camera with the lens shutter. The Edge Node does not record continuously.

2. Where your information goes

Before documents, results, and images leave your home, the Edge Node removes your name, contact details, and other direct identifiers from them. Voice and video sent to the assistants necessarily contain your voice and image. On the Entry model, the voice and video assistants run in the DeepSensi cloud over an encrypted connection secured by a key that your Edge Node generates. We store health information in coded form, without your name, contact details, or other direct identifiers, on servers in the United States and the European Union, and we treat it as health information. We do not sell your information. We do not use your recordings, transcripts, or health information to train artificial intelligence models, or for any purpose other than providing the features you use, unless you give separate, specific consent.

3. People in your home

Other people in your home, guests, and visiting professionals may be heard or seen by the Edge Node. You agree to tell them that the Edge Node is present and how it works, before it listens while they are present, and to place the DeepSensi information card near the Edge Node. When guests are present, you can switch the Edge Node to Guest Mode, in which it does not listen or record until you switch it back. Some states require the consent of every person in a conversation before it is recorded. The Edge Node will record a conversation only as described in Section 4, after the consent of everyone present has been confirmed.

4. Recording a visit

The ambient scribe records a visit only after you start a scribe session and confirm, by voice or on screen, that everyone present has agreed to the recording. The Edge Node then announces: "This visit is being recorded by DeepSensi to prepare notes. Say 'stop recording' at any time." Any participant may stop the recording at any time. We keep a record of the confirmation. We delete the audio recording within 30 days after the notes are prepared, unless you choose to keep it. You control whether the notes are shared, and with whom.

5. Voice recognition

If you choose, the Edge Node can recognize your voice so that it responds to you personally. To do this, it creates a voiceprint, which is a biometric identifier. We create a voiceprint only for an adult account user who signs the Voice Recognition Consent. We do not create or keep voiceprints of anyone else, and voices that do not match an enrolled user are not stored as voiceprints. Your voiceprint is stored only on your Edge Node and is never sent to the DeepSensi cloud. We use your voiceprint only to recognize you on your Edge Node. We do not sell, lease, trade, or otherwise profit from it. We do not disclose it to anyone, except when required by law or a valid warrant. We permanently destroy your voiceprint when you withdraw consent, when you close your account, or three (3) years after your last interaction with the Edge Node, whichever comes first. The Edge Node does not use facial recognition.

6. Children

Edge Node accounts, Companion, and voice recognition are for adults. They are not directed to children under 13, and we do not knowingly collect personal information from children under 13 through them. If the Edge Node recognizes that a child is speaking, it does not keep the recording or transcript and responds only by suggesting that the child ask a parent. A parent may share information about a child's health through the parent's own account. If we learn that we have collected personal information from a child under 13 without verifiable parental consent, we will delete it.

7. Companion is artificial intelligence

Companion is an AI system, not a person and not a health care professional. It does not assess symptoms, diagnose, or give treatment advice, and it is not a substitute for care by a licensed professional or for mental health services. Companion reminds you that it is AI at the start of each conversation and at least every three hours during a continuing conversation, and it suggests taking a break. Companion may not be suitable for some minors. If you tell Companion that you are thinking about suicide or self-harm, it will stop the conversation topic and give you the 988 Suicide and Crisis Lifeline (call or text 988) and, if you may be in immediate danger, tell you to call 911.

8. Wearables

If you connect a wearable device, the Edge Node stores and displays its data and, if you choose, shares it with your physician. The Edge Node does not analyze wearable data, does not tell you whether a value is normal or abnormal, and does not send alerts based on it.

9. Retention and deletion

We keep recordings and transcripts only as long as needed for the feature you used, as follows: scribe audio up to 30 days after notes are prepared; Companion conversations up to 90 days, unless you delete them sooner; notes and records until you delete them or close your account. You can delete any recording, transcript, note, or record at any time in your account. When you close your account, we delete your information within 30 days, and from backups within six (6) months.

10. Sharing

Your physician or a family member can see your information only if you share it with them, one by one, in your account. You can stop sharing at any time. Stopping sharing does not delete copies your physician has already placed in your medical record.

11. Security

We protect your information with encryption in transit and at rest, access controls, and a written information security program. No system is perfectly secure, and we cannot guarantee that unauthorized access will never occur.

12. If there is a breach

If your unsecured health information is acquired or disclosed without your authorization, we will notify you without unreasonable delay and no later than sixty (60) calendar days after we discover it, and we will notify the Federal Trade Commission and others as the law requires. Our notice will describe what happened, what information was involved, what we are doing, and what you can do.

13. Your rights

You may access, correct, delete, and withdraw consent for your information as described in our Privacy Policy and our Consumer Health Data Privacy Policy at Consumer Health Data Privacy Policy. Residents of Washington, Nevada, Connecticut, and other states have additional rights described there.
