DeepSensi Clinician Workbench Terms of Use for Physicians (United States and Canada)

1. Parties and acceptance

These Terms are an agreement between DeepSensi PBC, 8 The Green STE A, Dover, DE 19901, United States ("DeepSensi") and the physician who creates a Clinician Workbench account ("you"). If you use the Workbench on behalf of a practice or institution, you confirm that you are authorized to accept these Terms for it.

2. Who may use the Workbench

2.1 The Workbench is intended for physicians (MD, DO) holding an active, unrestricted license to practice medicine in a U.S. state, territory or the District of Columbia, or in a Canadian province or territory. We verify the physician's licence against the register of the licensing board of the state or country of licence, and a national provider identifier is used only to match a record and is not treated as proof of a licence. We do so before first access and periodically thereafter. Tell us within five days of any change in your license status.

2.2 You may permit staff under your supervision to use the Workbench only for administrative tasks and only under your account controls; clinical review remains yours.

3. What the Workbench provides

3.1 The Workbench displays analyses prepared by DeepSensi Precision Suite: a set of possible etiologies and next-step options, each with the patient data, reasoning, published sources and level of evidence that support it, presented in the order of how strongly each is supported and with none of them selected for you, for your independent review. The Instructions for Use describe inputs, method, evidence sources and limitations and form part of these Terms.

3.2 The software is clinical decision support intended to inform, not to replace, your judgment. It does not diagnose, treat, prescribe or dose; it does not analyze medical images, waveforms or device data; it is not for emergencies or time-critical decisions.

3.3 Receiving and reviewing an analysis sent by a patient is free of charge. Paid plans (Solo Practitioner, Group Practice, Specialty Consilium) are governed by these Terms and the plan order.

4. Your professional responsibilities

4.1 The physician is the sole decision maker. The Workbench presents information and the sources from which it comes, so that the physician can review the basis of it independently, and it does not direct any particular course of action. You verify any item you rely on against the cited data and sources. You are responsible for all clinical decisions and for your documentation in your own records.

4.2 You comply with the laws that apply to your practice, including licensure, standards of care, patient communication and any state requirement to inform patients about the use of artificial intelligence in their care. The Workbench provides text you may use for such disclosures.

4.3 You keep your credentials confidential and use multi-factor authentication.

5. Patients' analyses

5.1 A patient sends you an analysis by designating you in the DeepSensi application and confirming delivery. Before a case is opened, the physician confirms receipt of the dossier in the Workbench. Without that confirmation the analysis is not opened and the material is returned to the person who sent it. The analysis concerns a coded case; identity is re-associated on your device from the patient's designation.

5.2 You may share the analysis with the patient using the Workbench's sharing function; the shared report is marked as shared by you and is your communication to your patient. You may not distribute analyses to third parties except as part of the patient's care and as the law permits.

5.3 You may decline to review an analysis. We do not notify patients of the content of your review.

6. Data, privacy and HIPAA

6.1 DeepSensi servers store and process patient data in coded form, without names, contact details or other direct identifiers; the key that re-associates an analysis with a patient is held on your device and on the patient's device. Physicians in Canada remain responsible for their obligations under provincial health information laws. You are responsible for the security of your device and for your own records.

6.2 When you receive an analysis that a patient sends you, DeepSensi acts on the patient's instructions and not on your behalf. If you or your practice are a HIPAA covered entity and use the Workbench to send, store or manage patient information on your own behalf, including under a paid plan, DeepSensi will sign a Business Associate Agreement before that use begins, and it forms part of these Terms once signed.

6.3 We do not sell data.

7. No payments for referrals

DeepSensi pays no physician for referring patients to the Service, for the number of analyses received or reviewed, or for any patient's purchase. Any compensation between DeepSensi and a physician exists only under a separate written agreement for services at fair market value that does not depend on referrals, purchases or the number of patients. A physician whose contact information DeepSensi provides to patients who have no physician pays nothing to DeepSensi and receives nothing from DeepSensi for being listed or for any patient they see. No physician may recommend the purchase of a Suite in exchange for anything of value from DeepSensi. You are responsible for any disclosure to your patients about the use of artificial intelligence that the law of your state or province requires.

8. Research

You are not a research investigator by using the Workbench. If a patient of yours joins a DeepSensi research registry, you may be offered an optional form about changes in diagnosis or management made in routine care, for a coded case, under the registry's institutional review board approval; completing it is voluntary and uncompensated. The Physician Information Sheet describes the registry.

9. Acceptable use

Do not: use the Workbench for emergencies; attempt to identify individuals from coded data other than your own patients; reverse engineer or extract the software; use automated means to access it; upload image, waveform or raw genomic files; or use the Workbench outside the United States and Canada.

10. Intellectual property

The Workbench, its software, content and trademarks belong to DeepSensi or its licensors. You receive a limited, non-exclusive, non-transferable right to use the Workbench under these Terms. Your own notes and documentation remain yours.

11. Availability, changes and termination

We may modify the Workbench; material changes to functions or to the Instructions for Use are notified in the Workbench with the reason. We may suspend or terminate access for breach or loss of license. You may close your account at any time; paid plans end at the end of the paid term unless otherwise stated in the plan order.

12. Disclaimers and limitation of liability

The Workbench is provided "as is". To the fullest extent permitted by law, DeepSensi disclaims all warranties and is not liable for indirect, incidental, special or consequential damages; DeepSensi's total liability for all claims in any 12-month period is limited to the amounts you paid to DeepSensi in that period, or $500 if you paid nothing. Nothing limits liability that cannot be limited by law.

13. Governing law and disputes

Delaware law; informal resolution for 30 days; then the state or federal courts located in Delaware, to whose jurisdiction the parties consent.

14. Changes

Material changes take effect 30 days after notice in the Workbench and by email.
